Centrum Capital held its 47th AGM on August 8, 2025 via video conference, where all 13 resolutions were passed. Shareholders approved the audited standalone and consolidated financial statements for FY ended March 31, 2025, and re-appointed Mrs. Mahakhurshid Byramjee as director (retiring by rotation). Three new directors were inducted: Mr. Subhash Kutte as Non-Executive Non-Independent Director, and Mr. Rajeev Uberoi and Mr. Basant Seth as Independent Directors. Mr. Umesh P Maskeri was appointed as Secretarial Auditor for a 5-year term. Key corporate actions approved include raising of funds through issue of securities (Item 7), issuance of equity shares on a preferential basis (Item 13), four material related party transaction resolutions covering corporate guarantees and inter-se debt among subsidiaries (Items 8–11), and authorization to make charitable donations (Item 12).
The preferential equity issuance and broader fund-raising approval open the door to potential equity dilution and capital infusion, which can affect shareholder value. Notably, the four related party transaction resolutions passed with thinner margins of around 62–63% in favour, as promoters abstained and about 37% of public non-institutional votes were cast against — signalling some minority investor discomfort with subsidiary-related guarantees and inter-company debt arrangements.
