Centrum Capital's board approved audited consolidated and standalone financial results for FY25, reporting total revenue from operations of Rs. 3,493 crore (up ~58% YoY from Rs. 2,207 crore), but a net loss of Rs. 149 crore, wider than the Rs. 71 crore loss in FY24. The board cleared three new director appointments: Mr. Basant Seth and Mr. Rajeev Uberoi as Non-Executive Independent Directors (effective June 1, 2025), and Mr. Subhash Kutte as Non-Executive Non-Independent Director (effective July 6, 2025). It also approved fund-raising plans of up to Rs. 1,000 crore via Non-Convertible Debentures and another Rs. 1,000 crore via rights issue, private placement, or QIP. Additionally, warrants worth Rs. 200 crore will be issued on a preferential basis to JBCG Advisory Services Pvt Ltd, a promoter group entity, subject to shareholder and regulatory approvals. A new secretarial auditor was also appointed for five years from April 1, 2025.
The widening losses despite strong revenue growth may worry existing shareholders, but the sizeable fund-raising plans and a Rs. 200 crore promoter group infusion signal confidence in future growth. The addition of new independent directors could strengthen board oversight, though any subsequent equity dilution from the warrants and NCD/private placement route warrants close attention.
