Centrum Capital's board on May 16, 2025 cleared several major items. Three new directors were appointed: Mr. Subhash Kutte as Non-Executive Non-Independent Director (effective July 6, 2025), and Mr. Rajeev Uberoi and Mr. Basant Seth as Non-Executive Independent Directors (effective June 1, 2025). The board approved a new Secretarial Auditor, Mr. Umesh P. Maskeri, for a 5-year term starting April 1, 2025. Large fund-raising plans were cleared: up to Rs. 1,000 crore via Non-Convertible Debentures, up to Rs. 1,000 crore via rights issue or private placement/QIP, and Rs. 200 crore through warrants convertible into equity to promoter group entity JBCG Advisory Services on a preferential basis. FY25 consolidated revenue jumped ~58% YoY to Rs. 3,493 crore, but net loss widened to Rs. 149 crore (from Rs. 71 crore) due to a sharp rise in impairment on financial instruments to Rs. 596 crore. EPS stood at Rs. (4.51).
Mixed for shareholders: strong top-line growth led by the banking business (Unity Small Finance Bank) is positive, but widening losses and high impairment charges are a concern. The Rs. 200 crore preferential warrants to a promoter group entity signals further equity dilution for existing shareholders, while three new board additions should strengthen governance.
