The Board of Checkpoint Trends Limited approved two capital-raising plans on September 24, 2025. First, the company will issue convertible warrants worth around Rs. 170 Crores on a preferential basis to 14 allottees, with each warrant convertible into one equity share of Rs. 10 face value within 18 months. The largest allottee is Whole-time Director Pradeep Kumar, who would hold 25.75% post-exercise, followed by Pandokhar Food LLP, Lemon Electronics Ltd, and Recoll Projects Pvt Ltd (each at 15.45%). Second, the Board approved a Qualified Institutions Placement (QIP) for up to Rs. 500 Crores through equity shares, with pricing yet to be decided. An EGM notice was also approved to seek shareholder consent for these issuances.
Existing shareholders face heavy dilution — the warrants alone could expand the share count roughly seven-fold assuming full conversion, and the additional Rs. 500 Crore QIP may add further dilution. The stock could see short-term pressure, though the combined Rs. 670 Crore raise strengthens the company's balance sheet for future growth.
