Checkpoint Trends Limited (BSE: 531099) held its first Extra-Ordinary General Meeting of FY 2025-26 via video conferencing and submitted the voting results to BSE on October 28, 2025. Two special resolutions were considered and both passed with overwhelming majority (99.9998% in favour). Resolution 1 approved the issuance of convertible warrants on a preferential basis, and Resolution 2 approved raising up to Rs. 500 crore through a Qualified Institutions Placement (QIP) of equity shares. Only public non-institutions participated in the e-voting, with about 10.27% of outstanding shares being polled on each resolution. Promoter group did not cast any votes. The meeting was attended by 41 members (7 directors/KMPs and 34 public shareholders).
Shareholders have cleared the way for Checkpoint Trends to raise up to Rs. 500 crore via QIP and issue convertible warrants, which could lead to significant equity dilution for existing shareholders. Investors should watch for further announcements on pricing, allottee identities, and the intended use of funds, as these will determine whether the fundraising is value-accretive or dilutive.
