Checkpoint Trends Limited has issued a Second Corrigendum to its EGM notice originally dated October 4, 2025. The EGM was held on October 27, 2025 and the company is now opening a fresh e-voting window from January 29 to January 31, 2026. The corrigendum clarifies the objects of a proposed preferential issue of warrants totalling Rs. 170 crore, allocated as Rs. 30 crore for the buyout of Global Tabbac Legacy, Rs. 97.50 crore for working capital, and Rs. 42.50 crore for general corporate purposes. It also discloses that proposed allottee Mr. Pradeep Kumar, currently not part of the promoter group, will be issued 1,11,08,643 warrants, which upon conversion may trigger an Open Offer under SEBI Takeover Regulations. The company has appointed NVB & Associates as scrutinizer for the e-voting process.
Shareholders get a new chance to vote on the Rs. 170 crore preferential warrant issue and related buyout of Global Tabbac Legacy. The large preferential allotment to a non-promoter individual could lead to a change in control and trigger a mandatory open offer, which existing shareholders should watch closely.
