Chartered Logistics Limited's Board, at its meeting on 16 October 2025, approved the allotment of 34,00,000 equity shares of face value Rs. 1 each upon conversion of an equal number of convertible warrants. These warrants were originally issued via a preferential allotment. The company received the remaining 75% exercise price of Rs. 5.85 per warrant (against a total warrant price of Rs. 7.80), aggregating to about Rs. 1.99 crore in cash. The allottees include Ashok Kankumar Agarwal (20 lakh shares), Doshi Viralben H (8 lakh), Deepshikha Arora (5 lakh), and Dinesh Mahatma (1 lakh). As a result, the company's paid-up share capital has risen from Rs. 12.02 crore to Rs. 12.36 crore, a dilution of roughly 2.8%.
This is a pre-committed warrant conversion (not a fresh fundraising), so the Rs. 1.99 crore inflow was already anticipated. Existing shareholders face minor dilution of about 2.8%, while the equity base expands. No new debt or surprise equity issuance; the share price impact is expected to be limited.
