Outcome of the Board Meeting under Regulation 30 of the SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015

Chatha Foods' board, meeting on March 11, 2026, approved the appointment of Ms. Divya Babel as an Additional Non-Executive Independent Director for a five-year term, subject to shareholder approval. This fills the vacancy left by the resignation of Mr. Sanjiv Swarup, a Non-Executive Independent Director, helping the company meet board composition requirements. Ms. Babel is a Chartered Accountant with an IIM Indore postgraduate certification and over 10 years of experience in finance, taxation, compliance, and consulting. The board also reconstituted the Nomination and Remuneration Committee, with Ms. Babel joining as a member. Additionally, Mrs. Rachna Singh Chaudhary's designation was upgraded from Corporate Human Resource to Chief Human Resource Officer (CHRO), classified as Senior Management Personnel.
