Chembond Chemicals Limited has announced that its Composite Scheme of Arrangement has become effective from May 3, 2025. The scheme involves Chembond Chemicals as the Demerged/Transferee Company, Chembond Chemical Specialties as the Resulting Company, and four transferor companies: Chembond Clean Water Technologies, Chembond Material Technologies, Phiroze Sethna Private Limited, and Gramos Chemicals (India) Private Limited. The NCLT had previously sanctioned the scheme, and the certified copy of the order has now been filed with the Registrar of Companies, Mumbai in Form INC-28. This is an update to earlier intimations dated April 22 and April 24, 2025.
The scheme's effectiveness formalises the internal restructuring of the Chembond group, consolidating certain businesses and creating a new entity. Shareholders should watch for further updates on share entitlement/allotment terms in the Resulting Company and any subsequent corporate actions arising from the demerger.
