Chemcrux Enterprises' board approved Q1 FY26 standalone and consolidated financial results along with a limited review report. A new secretarial auditor, KSPS & Co. LLP, was recommended for a 5-year term starting FY26, subject to shareholder approval. The board also sought shareholder approval to continue three directors — Executive Chairman Girishkumar Shah, Managing Director Sanjay Marathe (both promoters), and Independent Director Bhanubhai Patel — beyond their retirement ages of 70 and 75 years. Authorised share capital will be raised from Rs. 15 crore to Rs. 20 crore, and a new ESOP 2025 scheme covering 20 lakh equity shares was approved for eligible employees. The board accepted the resignation of CFO Mr. Ramesh Kambariya, effective end of business hours on 11 August 2025, citing personal career goals. The 29th AGM is scheduled for 24 September 2025 via video conferencing.
Shareholders will vote on several key items at the AGM, including continuation of two promoter directors and an independent director past retirement age, an increase in authorised capital, and a new ESOP pool of up to 20 lakh shares. The CFO resignation is a KMP-level change that investors should monitor for any replacement disclosure; until then it could create short-term uncertainty around financial leadership.
