Choksi Asia Limited has issued a postal ballot notice seeking shareholder approval for two special resolutions. The first resolution seeks approval to raise the company's limit under Section 186 of the Companies Act, 2013 for giving loans, guarantees, security, and making investments, up to an aggregate of INR 60 Crores, over and above the statutory ceiling of 60% of paid-up capital/free reserves or 100% of free reserves, whichever is higher. The second resolution seeks approval to shift the registered office from Vile Parle East, Mumbai (Maharashtra) to Silvassa (Union Territory of Dadra and Nagar Haveli), where the company's factory is already located, and to amend Clause II of the Memorandum of Association accordingly. Voting will be conducted electronically through CDSL from 9:00 a.m. on January 14, 2026 to 5:00 p.m. on February 12, 2026. Results will be announced on or before February 16, 2026. Scrutinizer is Mrs. Nikita Pedhdiya, Practicing Company Secretary.
Both items are administrative in nature and unlikely to materially affect the stock price. The Section 186 limit expansion simply gives the board more flexibility to deploy surplus funds into investments or inter-corporate transactions, while the registered office shift aligns the corporate address with the company's existing factory location in Silvassa, potentially improving operational efficiency.
