Cholamandalam Investment and Finance Company held its 47th AGM on 31 July 2025 via video conferencing, chaired by Executive Chairman Mr. Vellayan Subbiah. MD Mr. Ravindra Kumar Kundu presented a financial update covering FY 2024-25 and Q1 FY 2025-26. Shareholders approved key items including adoption of standalone and consolidated financial statements for FY25, final dividend of Rs. 0.70 per share (along with confirmation of interim dividend), re-appointment of Mr. M A M Arunachalam as Director, appointment of M/s. BP & Associates as secretarial auditors for 5 years (FY 2025-26 to FY 2029-30), and an increase in borrowing powers under Section 180(1)(c) up to Rs. 3,00,000 crores. The joint statutory auditors' report and secretarial auditor's report had no qualifications or adverse remarks. Shareholders raised queries on future plans, digital initiatives, external commercial borrowings, dividend, CSR initiatives, and a possible bonus issue, all addressed by the Chairman.
The approval to raise the borrowing limit to Rs. 3 lakh crore signals significant growth ambitions for the NBFC, potentially leading to higher AUM expansion. The final dividend of Rs. 0.70 per share adds to the earlier interim dividend, rewarding shareholders. Shareholders' query on a bonus issue may be closely watched by the market as a potential future catalyst.
