CIAN Agro Industries & Infrastructure Ltd has acquired 100% equity stake in Sec-One Sales & Marketing Private Limited for a cash consideration of Rs. 1 lakh, making it a wholly owned subsidiary effective August 12, 2025. Sec-One is engaged in distribution, sale, and marketing of commodities such as sugar, sugarcane, molasses, and jaggery, with a paid-up share capital of Rs. 1 lakh and a turnover of about Rs. 38.99 crore in FY25. The company's turnover has, however, been on a declining trend — from Rs. 77.75 crore in FY23 to Rs. 58.22 crore in FY24 and Rs. 38.99 crore in FY25. The deal was carried out at arm's length and is not a related party transaction, with completion targeted within 30 days.
The acquisition is aimed at expanding CIAN's distribution reach into rural markets and growing commodity sales channels, fitting its agro business line. The very low acquisition cost (Rs. 1 lakh) against a ~Rs. 39 crore turnover entity makes it attractive on paper, though declining revenues and the small size mean limited immediate financial impact on shareholders.
