Cipla Limited has signed definitive agreements to acquire 20% voting rights in iCaltech Innovations Private Limited, a Bangalore-based medical diagnostics company focused on respiratory care. The deal is for approximately INR 5 crore in cash, paid through subscription of optionally convertible preference shares and one equity share. iCaltech, incorporated in 2016, reported revenues of INR 6.70 crore in FY25, up from INR 4.19 crore in FY24 and INR 1.28 crore in FY23. The transaction is not a related-party deal and is expected to close within one month. Cipla said the investment supports its 'lung leadership' strategy by combining pharmaceutical expertise with diagnostic device technology.
This is a small strategic investment (about INR 5 crore) aimed at strengthening Cipla's respiratory diagnostics portfolio rather than a transformative acquisition. Likely minimal impact on earnings or stock price in the short term, but it reinforces the company's push into devices and diagnostics beyond core pharma.
