Cipla's Board approved the grant of stock options and ESARs to employees. Under ESOS 2013-A, 25,323 stock options vest in 1 year and 1,51,066 options vest in 2 years, both exercisable at INR 2 per option within 5 years of vesting. Under ESAR 2021, 4,74,589 ESARs have 3-year graded vesting and 1,21,655 ESARs vest in 1 year, also at INR 2 per equity share with 5-year exercise period. The Board also approved appointment of M/s Joshi Apte & Associates as Cost Auditors for FY 2026-27, and appointed Mr Sushrut Kulkarni as President & Global Chief - Integrated Product Development effective 18th May 2026. Kulkarni joins from Dr Reddy's Laboratories where he spent 3 decades in pharma R&D leadership roles at Glenmark and Zydus Lifesciences as well.
The ESOP grants will result in dilution of approximately 7.72 lakh shares or about 0.08% of total equity. The appointment of an experienced R&D leader from a competitor signals focus on strengthening the product development pipeline, which could support future growth.
