Citichem India's board, at its meeting on 14 November 2025, approved raising up to Rs. 13.63 crore by issuing 47 lakh convertible warrants on a preferential basis at Rs. 29 per warrant (face value Rs. 10), with each warrant convertible into one equity share within 18 months. Promoters Arif Esmail Merchant and Hashim Arif Merchant will together subscribe to 43 lakh warrants, while non-promoter Padmakar Jagannath Murodiya will take 4 lakh warrants, subject to shareholder and regulatory approvals. This supersedes an earlier preferential warrant issue approved at the September 2025 AGM. The board also approved the unaudited H1 FY26 results, showing a sharp jump in revenue from Rs. 167.26 lakh to Rs. 1,076.81 lakh and profit after tax rising from Rs. 12.25 lakh to Rs. 68 lakh year-on-year.
The warrant issue will expand the promoter family's stake and bring in fresh capital of about Rs. 13.6 crore, which is mildly positive for liquidity but dilutive once warrants are converted. The strong H1 revenue and profit growth is a positive fundamental signal, though the company remains small and trades on the BSE SME platform.
