Clara Industries has allotted 50 lakh equity shares to non-promoter public category investors at Rs. 25 per share, raising a total of Rs. 12.5 crore. The issue price includes a Rs. 15 premium over the Rs. 10 face value. Two foreign fund vehicles — North Star Opportunities Fund VCC-Bull Value Incorporated Sub-Fund and Eminence Global Fund PCC-Eubilia Capital Partners Fund I — each received 25 lakh shares. Following this allotment, the company's fully paid-up equity capital stands increased to Rs. 25.67 crore (2.57 crore shares). Additionally, 57.5 lakh fully convertible warrants are pending allotment to promoters and public allottees once their funds are received. The newly allotted shares will be locked-in as per SEBI ICDR regulations.
This preferential allotment brings in Rs. 12.5 crore but dilutes existing shareholders' stakes. The entry of two foreign institutional funds may be viewed positively as a vote of confidence, though lock-in restrictions and the pending warrant conversion could influence near-term stock sentiment.
