CLN Energy Ltd has announced the results of its Postal Ballot, with the last date of e-voting falling on May 30, 2025. Two special resolutions were passed with unanimous approval — 100% of votes polled were in favour and none against. Resolution 1 approves the preferential issue and allotment of up to 3,60,000 equity shares to an entity belonging to the promoter category. Resolution 2 ratifies a clarification on the object of the preferential issue issued via a corrigendum notice. Voting was conducted electronically; about 74.36% of the outstanding 1,05,53,250 equity shares participated. Promoter group (holding 72.6% of shares) and public non-institutional shareholders both voted 100% in favour of both resolutions.
The preferential allotment to the promoter group will increase the promoters' equity stake by roughly 3.4% and result in a small dilution for existing public shareholders. Since promoters were themselves the interested party in this related-party preferential issue, public shareholders should note the change in shareholding pattern that will follow once the 3,60,000 shares are actually allotted.
