BSE has imposed a fine of Rs. 5,42,800 (inclusive of GST) on Coal India Limited for not meeting the requirements of SEBI LODR Regulation 17(1) for the quarter ended 31 December 2025. The non-compliance relates to the composition of the company's Board of Directors, specifically the requirement for a certain number of Independent Directors. Coal India clarified that the shortfall is not due to any negligence by the company, as the appointment of all Board Members is done by the President of India since CIL is a Government Company under the Ministry of Coal. The company has formally requested BSE to waive the penalty and noted that similar waiver requests have been granted by the exchanges in the past.
The financial impact is negligible — Rs. 5.42 lakh is a trivial amount for a Maharatna PSU of Coal India's scale and will not affect operations or shareholder value. The real issue is a structural/governance one stemming from delays in government-appointed Independent Directors, which the company is actively following up on with the Ministry of Coal.
