Cochin Minerals and Rutile Limited submitted a revised scrutinizer's report (dated 21 August 2025) for its 36th AGM held on 8 August 2025 via video conferencing. The revision was made because votes cast by related parties (14 members holding 28,21,082 shares) had been inadvertently included in Resolution No. 7; these have now been excluded as invalid under Section 188(1) of the Companies Act, 2013. Even after this exclusion, Resolution No. 7 still passed with the required majority. All 8 resolutions were approved: adoption of audited financials, declaration of dividend, reappointment of two directors (Anil Ananda Panicker and Nabiel Mathew Cherian), appointment of Mr. Saran S Kartha as Managing Director, alteration of Articles of Association, appointment of Dr. S N Sasidharan Kartha as Chairman Emeritus, and appointment of SEP Associates as Secretarial Auditors. Total votes polled stood at 31,59,608 out of 78,30,000 shares (40.35%), with most resolutions passing with near-100% approval.
The correction is procedural and has no effect on the outcome — all resolutions, including the related-party Chairman Emeritus appointment, remain validly passed. Shareholders can expect the declared dividend and continuity in management, with a new Managing Director (Mr. Saran S Kartha) formally appointed. This is unlikely to have any material impact on the stock price.
