Coforge has received approval from the Reserve Bank of India for an Overseas Direct Investment exceeding USD 1 Billion under the Foreign Exchange Management (Overseas Investment) Rules, in connection with its ongoing acquisition of Encora. The transaction, originally announced on December 26, 2025, involves share subscription and purchase agreements with Encora US Holdco, Encora Holdings Ltd, and certain investors. Coforge had already secured US antitrust (HSR) clearance, shareholder approval via postal ballot, and competition approvals in jurisdictions like Australia. A few more regulatory approvals in other jurisdictions remain in advanced stages and the company will update exchanges as they come through.
