Cohance Lifesciences (formerly Suven Pharmaceuticals) informed exchanges that all 5 resolutions in its postal ballot (e-voting ended 13 June 2026) were passed by shareholders with the requisite majority. The key resolution was the appointment of Mr. Umang Vohra (DIN: 02296740) as Chairman from 1 May 2026 and Group CEO from 20 May 2026, approved with 99.62% of votes polled (34.08 crore shares in favour). Also approved were: payment of remuneration to Mr. Vohra in excess of Section 197 limits (88.57% in favour), the 'Cohance Lifesciences Limited – Employee Stock Option Plan, 2026' (96.57% in favour), its extension to unlisted subsidiaries (96.64% in favour), and the grant of stock options equal to or exceeding 1% of issued capital annually (88.16% in favour). Promoters voted 100% in favour on all resolutions while institutional public shareholders showed the strongest dissent on the remuneration and 1% ESOP grant items (around 40% against).
