Colinz Laboratories Ltd completed a postal ballot via remote e-voting (Oct 15 – Nov 14, 2025) seeking shareholder approval on two special resolutions: (1) to sell, lease, mortgage or dispose of the factory at Plot No 60, STICE, Sinnar, Nashik, and (2) to do the same with the registered office at A-101, Pratik Industrial Estate, Mulund Link Road, Mumbai. Both resolutions passed with overwhelming support — 1,539,110 votes (99.9996%) in favour versus just 6 votes against, out of 1,539,116 votes polled (61.10% of outstanding shares). Promoters voted 100% in favour, polling 1,448,200 of their 1,662,659 shares. Public institutions polled 90,916 shares (99.99% in favour). The scrutinizer, Ashwini Vaze & Associates, confirmed both resolutions were passed with the requisite majority.
Shareholders have now authorised the board to divest or monetise both the Nashik manufacturing unit and the Mumbai office, pointing to a possible restructuring, downsizing, or asset sale. Retail investors should watch for follow-up filings on actual transaction terms, valuation, and how the proceeds will be used, as this could materially reshape the company's business.
