Concord Control Systems' board has approved acquiring an additional 20.5% stake in Delhi-based Progota India Private Limited via a Share Purchase Agreement, raising its holding from 26% to 46.5% (approved on October 11, 2025). Progota is the developer of Kavach 4.0, India's indigenous Automatic Train Protection (ATP) system for Indian Railways, focused on R&D in signalling, control and safety electronics. The target is currently pre-revenue — FY25 turnover was nil, FY24 was ₹14.94 lakh and FY23 was ₹8.68 lakh, as it is still in the development phase. The deal is not a related-party transaction, requires no regulatory approvals, and is expected to close within six months; acquisition price has been kept confidential under the SPA.
This is a strategic, long-term bet on India's Kavach 4.0 rail-safety rollout — a high-potential but not-yet-commercialising asset, so near-term earnings impact will be minimal. For shareholders, the move positions Concord as a deeper technology partner in a marquee government programme, with potential upside if Kavach 4.0 scales across Indian Railways.
