Concord Control Systems has called an EGM on December 20, 2025 at 12:30 PM via video conferencing to seek shareholder approval for two preferential share issues. The first resolution seeks approval to issue up to 2,38,500 equity shares at Rs. 2,100 per share (face value Rs. 10, premium Rs. 2,090), aggregating up to Rs. 50.08 crore, to three non-promoter investors — Sageone-Flagship Growth OE Fund (1,43,000 shares), Sanshi Fund-1 (71,500 shares) and Mr. Ashish Rameshchandra Kacholia (24,000 shares). The second resolution seeks approval to issue up to 24,662 equity shares at Rs. 2,100 per share (Rs. 5.18 crore total) to Mr. Krishan Kumar Agarwal, not for cash but as consideration for acquiring 17,691 equity shares (7.73% stake) in Progota India Private Limited. Both allotments carry lock-in requirements as per SEBI ICDR rules and the shares will rank pari-passu with existing equity shares.
Existing shareholders will face some equity dilution from both issues, but the pricing at Rs. 2,100 per share reflects a substantial premium over the Rs. 10 face value. The first tranche brings in marquee institutional and high-net-worth investors, which is a positive signal, while the second tranche is a strategic acquisition of a stake in Progota India funded via a share swap rather than cash outflow.
