The board of Concord Enviro Systems approved standalone and consolidated Q1 FY26 results (quarter ended June 30, 2025). Standalone revenue from operations came in at Rs. 112.18 million with profit after tax of Rs. 39.52 million (EPS Rs. 1.90), while consolidated revenue was Rs. 1,023.92 million with PAT of Rs. 41.29 million (EPS Rs. 1.99). The board approved infusion of up to Rs. 400 million in cash into wholly owned subsidiary Concord Enviro (FZE) in Sharjah, to fund a greenfield assembly unit for water/wastewater systems and working capital needs. A Scheme of Arrangement was cleared to write off the company's negative Retained Earnings against its Securities Premium Account, with no change in shareholding and no cash outflow (subject to NCLT and shareholder approvals). Other items include the appointment of Ms. Jyoti Chawda as Company Secretary, new internal and secretarial auditors, and an amendment to the ESOP 2022 plan to add a termination clause. IPO proceeds of Rs. 849.56 million remain unutilized, parked in bank deposits.
The restructuring scheme is a cosmetic balance sheet clean-up that could open the door to future dividend payments, though it does not change underlying earnings power. The FZE fund injection supports the company's overseas expansion in line with its IPO objectives. Q1 standalone revenue softened versus the previous quarter, but profitability held up well on a year-on-year basis.
