Continental Controls Limited has submitted the scrutinizer's report and voting results of a postal ballot conducted through e-voting from January 23 to February 21, 2026. All 6 special resolutions were passed with overwhelming majority (over 99.9% in favor). The first four resolutions approved the re-appointment of one Executive Whole-Time Director (Mr. Rajnish Kumar Pandey) and three Non-Executive Independent Directors (Mr. Abhay Kumar Sethia, Ms Chetna Gupta, and Ms Khusbu Agarwal), each for a 5-year term. Resolutions 5 and 6 authorized the Board to borrow up to Rs. 10 Crores under Section 180(1)(c) and to advance loans or give guarantees under Section 185 of the Companies Act, 2013. For the borrowing and Section 185 resolutions, the promoter group (OneLife Capital Advisors Limited holding 15,09,604 shares) abstained from voting as a related party. Total votes polled were about 25.93% of outstanding shares for director resolutions and just 1.37% for the borrowing-related resolutions, with no invalid votes recorded.
Shareholders have approved the continuation of all four directors and given the Board borrowing flexibility up to Rs. 10 Crores. The results are largely procedural and unlikely to cause significant stock price movement, though the low public participation (especially on borrowing items where promoters abstained) means a small minority of public shareholders essentially approved these resolutions.
