Continental Controls Limited held its 30th AGM on September 30, 2025, via video conferencing, where 10 resolutions were put to vote. Out of 5,525 shareholders on record, only about 25% of outstanding shares (1,538,302 votes) were polled on most resolutions. Resolutions 1 to 4, covering adoption of FY25 audited financials, reappointment of director Mr Rajnish Kumar Pandey, appointment of M/s Rafik & Associates as statutory auditor for five years, and appointment of Ms Neha Poddar as secretarial auditor, were passed with 98.30% in favour. Resolution 10, a special resolution authorising the Board to make investments, provide guarantees, and give inter-corporate loans up to Rs 10 crore for FY 2025-26, was also passed with 98.30% support. However, all five related party transaction resolutions (Resolutions 5 to 9) with Onelife Capital Advisors, Dealmoney Commodities, Dealmoney Real Estate, Dealmoney Distribution and e-Marketing, and Sarsan Securities for FY 2025-26 were rejected, with 91.27% of votes polled against them; promoters abstained from voting on these resolutions due to being interested parties.
Shareholders should note that minority public shareholders have clearly rejected five proposed related party transactions, which may constrain the company's ability to transact with these related entities in FY 2025-26 without reworking the terms or seeking fresh approval. Routine items like financial statements, auditor appointments, and the Rs 10 crore inter-corporate loan/investment limit sailed through comfortably, so governance basics remain unaffected. The very low public voting turnout (under 1% of outstanding shares) and the lopsided rejection could draw governance scrutiny from minority shareholders.
