Continental Securities Ltd has converted 5,00,000 convertible warrants into 5,00,000 equity shares of face value Rs. 2 each at a premium of Rs. 19 per share, taking the effective issue price to Rs. 21 per share. The warrants, originally allotted on a preferential basis in early 2025, were held by Diptanshu Gupta (Non-Promoter Group), who paid the balance 75% of the consideration (Rs. 15.75 per share) on February 4, 2026, on top of the 25% already paid. Following this conversion, the allottee's stake rises from 0.52% (1,54,311 shares) to 2.06% (6,54,311 shares) of the company's paid-up capital. The company's paid-up equity capital has increased from Rs. 5,99,06,000 (2,99,53,000 shares) to Rs. 6,09,06,000 (3,04,53,000 shares). The BSE had given its in-principle approval earlier in January 2025, and shareholders had approved the preferential issue via a special resolution on January 7, 2025.
This is a routine completion of a previously approved preferential warrant conversion, leading to a modest equity dilution of about 1.67% in share count. For existing shareholders, it means a small dilution of their stake, though the company has already received the full consideration, so there is no cash inflow impact at this stage.
