Cryogenic OGS Ltd has submitted the voting results of a postal ballot process that concluded on 4 June 2026. Two resolutions were put to shareholders: (1) a Special Resolution for approval of transactions under Section 185 of the Companies Act, 2013, which received 11,251,500 votes in favour (78.79% of outstanding shares, 100% approval) with zero votes against; and (2) an Ordinary Resolution for approval of Material Related Party Transactions with Infravolt Engineering Private Limited (a subsidiary), which received 653,250 votes in favour (4.57% of outstanding shares, 100% approval) with zero votes against. Promoters held 10,608,750 shares but did not vote on Resolution 2 as they were interested parties; they voted fully in favour of Resolution 1. Total shareholders on record were 842, with only 16 participating in voting (2 promoters, 14 public). Both resolutions were passed unanimously.
Both resolutions passed with 100% shareholder support, indicating strong investor backing. The Section 185 approval enables the company to lend or give guarantees to other entities, while the related party transaction clearance with subsidiary Infravolt Engineering allows ongoing business dealings — shareholders should note the related party nature of Resolution 2.
