Cybele Industries Ltd has filed a disclosure under Regulation 10(7) of SEBI (SAST) Regulations, 2011 regarding an inter-se transfer of shares between promoters by way of gift, exempt under Regulation 10(1)(a)(i). On 27 November 2025, Mr. Joykutty (father) and Mrs. Annamma Joy (mother) gifted a combined 38,69,032 shares (36.17% of share capital) to their sons, Mr. Thomas P Joy and Mr. George P Joy, with no consideration involved. As a result, Thomas P Joy's stake rose from 13.79% to 31.82% and George P Joy's stake rose from 14.05% to 32.19%, while Joykutty's fell from 28.36% to 4.03% and Annamma Joy's from 15.87% to 4.03%. The aggregate promoter and promoter group holding remains unchanged at 64.01% of total share capital. SEBI filing fees of Rs. 1,77,000 (including GST) have been paid along with the disclosure.
No impact on share price or overall promoter control — this is purely a private family arrangement between immediate relatives (parents gifting shares to sons) with zero cash consideration. The total promoter group stake stays the same, so existing shareholders and voting rights are unaffected. Investors should view this as a routine internal succession/reorganization disclosure with no change in company fundamentals or control.
