Cybele Industries Ltd completed a postal ballot via remote e-voting from April 16 to May 15, 2026. Four resolutions were put to shareholders, all of which passed with 100% votes in favour and zero votes against. Three ordinary resolutions approved material related party transactions with two subsidiary companies (Cybele Electra Private Limited and Cybele Electronics Private Limited). Promoters did not vote on these RPT items (declared interested), so only public non-institutional shareholders (34 members) participated, contributing 9,29,068 votes (~31% of their holding). A special resolution also passed, authorizing the creation of mortgage/charge on company assets up to a specified limit under Section 180(1)(a) of the Companies Act, 2013, with broader participation including promoters (57,66,866 votes) and public shareholders, totalling 66,95,934 votes (62.60% turnout).
All resolutions passed with unanimous support. The RPT approvals enable continued inter-company transactions with subsidiaries. The mortgage/charge resolution expands the company's flexibility to secure future borrowing by creating liens on assets. The low participation by public shareholders is typical for small-cap companies but does not affect the validity of outcomes.
