Promoters of Cybele Industries — parents Joykutty and Annamma Joy — plan to gift their shares to their sons Thomas P Joy and George P Joy. A total of about 38.69 lakh shares (roughly 36.18% of the company's share capital) will be transferred across four gift tranches, with proposed execution on or after 18 November 2025. The original intimation was filed on 18 March 2025 but could not be executed earlier due to a trading window closure; this is the revised disclosure. After the transfer, Thomas P Joy's holding rises to 31.82% and George P Joy's to 32.19%, while the parents' holdings drop to 4.03% each. Crucially, the aggregate promoter group holding stays the same before and after the transaction, and no cash changes hands.
There is no impact on stock price or minority shareholders — this is purely a family reshuffle within the promoter group, exempt from open-offer requirements under Regulation 10(1)(a)(i). It does, however, formally shift voting control to the next generation of the promoter family.
