Cyient's Board has approved a binding term sheet for its wholly-owned subsidiary Cyient Semiconductors to raise ₹300 crore from EAAA India Alternatives Limited. The fundraising comprises ₹200 crore through non-convertible debentures (NCDs) and ₹100 crore through compulsorily convertible debentures/preference shares (CCD/CCPS). Cyient will provide a corporate guarantee and pledge its 100% shareholding in Cyient Semiconductors as security for the NCDs. The meeting lasted 47 minutes and was held on May 25, 2026. Promoters have no interest in this transaction and it is stated to be at arm's length.
This fundraising by the subsidiary provides capital for growth but creates a contingent liability for Cyient as guarantor and pledgor. The ₹300 crore raise strengthens the semiconductor subsidiary's capital base. Shareholders should monitor for any dilution impact when CCD/CCPS convert to equity.
