Dalmia Bharat's wholly owned subsidiary Dalmia Cement (Bharat) Limited has executed a Business Transfer Agreement to acquire cement plants from Jaiprakash Associates Limited (now owned by Adani Group under IBC) and Adani Infra (India) Ltd. The deal covers 4 plants in Rewa (MP), Churk, Chunar and Sadwa (UP) with 5.2 MnTPA cement capacity, 3.3 MnTPA clinker capacity, and 99 MW thermal power. The enterprise value is Rs 2,850 crore with financing through a mix of debt and internal accruals. Post-acquisition, Dalmia's cement capacity will rise to 54.7 MnTPA from current 49.5 MnTPA. The transaction is expected to close within two weeks with commercial production commencing in Q2 FY27. This acquisition follows settlement of long-standing disputes with JAL including arbitral awards and a prior framework agreement that couldn't be consummated before JAL's insolvency.
Positive for shareholders as the acquisition strengthens Dalmia's position as a pan-India cement player with 10.5% capacity increase. The assets offer faster market entry into high-potential Central Region markets with debottlenecking and brownfield expansion potential, expected to enhance EBITDA delivery.
