Dalmia Cement (Bharat) Limited, the wholly-owned subsidiary of Dalmia Bharat Limited, has executed a Business Transfer Agreement with Jaiprakash Associates Limited (JAL) and Adani Infra (India) Ltd. to acquire cement plants located at Rewa (Madhya Pradesh), Churk, Chunar and Sadwa (Uttar Pradesh). The acquisition includes 5.2 MnTPA cement capacity, 3.3 MnTPA clinker capacity, and 99 MW of thermal power capacity at an Enterprise Value of Rs 2,850 crore. The transaction, expected to close within two weeks, will increase Dalmia Bharat's cement capacity to 54.7 MnTPA. This acquisition, originating from JAL's insolvency resolution under IBC with Adani Group, is intended to settle all pending disputes with JAL and supports Dalmia Bharat's vision of becoming a pan-India player.
The acquisition strengthens Dalmia Bharat's market position in the high-potential Central Region and expands cement capacity by over 10%. The transaction, financed through debt and internal accruals, is expected to commence commercial production in Q2 FY27 and augment EBITDA delivery through Dalmia's cost leadership practices.
