Keshav Power Limited, part of the Dalmia Bharat promoter group, acquired 6,73,35,614 equity shares (35.90% of paid-up capital) of Dalmia Bharat through a Scheme of Amalgamation involving three promoter group entities — Ankita Pratisthan, Mayuka Investment and Shree Nirman — merging into Keshav Power. The scheme was sanctioned by the NCLT Cuttack Bench on 30 May 2025 and became operational on 13 June 2025. As a result, Keshav Power's direct holding in Dalmia Bharat jumped from 9,80,106 shares (0.52%) to 6,83,15,720 shares (36.42%). However, the aggregate promoter group shareholding remains unchanged at 36.42% pre- and post-transaction, confirming this is an internal restructuring rather than a fresh market purchase. Keshav Power has claimed exemption from making an open offer under Regulation 10(1)(d)(i) of SEBI (SAST) Regulations, 2011.
