DCM Shriram Limited will acquire 53% equity in DNV Global Private Limited, a hardware manufacturer for windows and doors, for a total cash consideration of Rs. 44 crores (Rs. 31 crores through fresh equity and Rs. 13 crores by buying out existing promoters). DNV Global had a turnover of Rs. 60 crores in FY25 with a net worth of Rs. 8.09 crores. The acquisition is aimed at backward integration for DCM Shriram's Fenesta Building Systems business and to create a new hardware line. The deal is expected to complete within 8 weeks, is not a related party transaction, and requires no major regulatory approvals. The Board Finance Committee approved the definitive agreements on May 4, 2025.
Positive for shareholders — this is a small, focused acquisition (Rs. 44 crores vs Rs. 65 crores approved budget) that strengthens DCM Shriram's Fenesta windows and doors business through backward integration. DNV's improving financials (PAT growing from Rs. 0.59 cr to Rs. 3.35 cr over 3 years) suggest margin expansion potential, though 53% stake means minority interests will remain.
