DCM Limited promoters Yuv Bharat Ram and Rahil Bharat Ram (sons) are acquiring 6,30,000 equity shares each from their father and promoter-director Mr. Sumant Bharat Ram. The total transfer is 12,60,000 shares representing approximately 6.74% of the company's total share capital. The transfer is by way of gift with no monetary consideration. After the transaction, Sumant Bharat Ram's holding will reduce from 28.95% to 22.20%, while both Yuv and Rahil will increase their holdings from 10.03% each to 13.40% each. The transfer qualifies for exemption from open offer requirements under Regulation 10(1)(a) as an inter-se transfer between qualifying persons (family members).
This is an intra-family redistribution of promoter holdings with no change in total promoter stake or cash flow. It has neutral impact on the stock. Shareholders should note the shift in promoter voting power from the older generation to the younger generation.
