Mr. Sumant Bharat Ram, Promoter and Director of DCM Ltd, transferred 12,60,000 equity shares (6.74% of total capital) to his two sons, Mr. Yuv Bharat Ram and Mr. Rahil Bharat Ram, who are also Promoters and Directors of the company. The transfer was by way of gift without any monetary consideration. Prior to the transfer, Sumant Bharat Ram held 54,07,124 shares (28.95%). After the transfer, his holding reduced to 41,47,124 shares (22.20%). No pledges or encumbrances were involved in either the pre- or post-transaction holding. The transaction falls under an inter-se transfer among qualifying persons as per Regulation 10(1)(a)(i)/(ii) of SEBI Takeover Regulations, 2011.
This is an intra-family transfer of promoter shares with no change in ultimate beneficial ownership, as the sons are already part of the promoter group. However, the transfer causes the promoter's stake to fall below the 25% threshold, which may attract further regulatory attention.
