DCW Limited has completed the final step of its Scheme of Amalgamation involving two private companies - Dhrangadhara Trading Company Private Limited (DTCPL) and Sahu Brothers Private Limited (SBPL). The NCLT Ahmedabad Bench had approved the scheme on January 22, 2026, which became effective from February 17, 2026. On February 19, 2026, DCW allotted 5,37,40,360 fully paid-up equity shares of ₹2/- each to eligible shareholders of both transferor companies. The company has now certified through its Audit Committee and Independent Directors that it has compensated 18 shareholders who were entitled to fractional shares, distributing net sale proceeds of ₹446.65/- on May 25, 2026. The fractional shares were sold in the open market by a trustee on May 15, 2026, within the 90-day timeline prescribed under SEBI regulations.
The completion of this amalgamation formalities is a positive development as it brings finality to the merger process. DCW's share capital has increased by over 5.37 crore shares from the consolidation of two private companies. Shareholders of DTCPL and SBPL have received DCW shares as consideration for the merger.
