De Nora India has issued a Postal Ballot notice seeking shareholder approval for material related party transactions (RPTs) with its ultimate holding company, Industrie De Nora S.p.A. (IDN), Italy, for FY 2026-27. The aggregate transaction value is capped at Rs. 2,080 Lakhs, which is about 30.33% of the company's FY 2024-25 turnover. The transactions include purchase of services (Rs. 720L), capital goods and intangibles (Rs. 80L), royalty payment (Rs. 200L), and corporate guarantee from IDN for working capital limits (Rs. 1,080L). IDN already holds 53.68% in De Nora India through its subsidiary, making this a transaction with the promoter group. E-voting runs from April 1 to April 30, 2026, with results to be announced by May 2, 2026.
Since IDN is the promoter, related parties (including promoter group, directors, and KMPs) cannot vote on this resolution, meaning approval depends on public and institutional shareholders. Approval is largely procedural and expected to pass, but shareholders should note the ongoing royalty and service obligations flowing to the parent company.
