GCCL Infrastructure & Projects held its 31st AGM on 30th September 2025, where all 9 resolutions were passed with 100% votes in favour. Key resolutions included adoption of audited financial statements for FY2024-25, reappointment of Mr. Amam Shah as director (retiring by rotation), regularization of Mrs. Sheila Bharat Shah as director, appointment of Shalini Pandey & Associates as secretarial auditor for 5 years (FY2025-26 to FY2029-30), continuation of Mrs. Sheila Bharat Shah as Independent Director past age 75, and approval of enhanced borrowing limits and loan/investment thresholds under Sections 180 and 186. Total voting turnout was 63.28% (38,00,800 shares out of 60,05,500), with promoter group (holding ~37,04,400 shares) voting almost entirely in favour. Public non-institutional shareholders showed very low participation at just 4.19% (96,500 shares) of their holding.
The unanimous approval of all resolutions, including enhanced borrowing powers and loan/investment thresholds, gives the company greater financial flexibility. Low public shareholder participation (4.19%) means these outcomes were largely driven by promoter votes, which is typical for closely-held companies.
