Harig Crankshafts Limited announced the results of a postal ballot conducted via remote e-voting between June 16 and July 15, 2025. Three special resolutions were passed with overwhelming majority: (1) change in the main objects of the company, (2) adoption of a new Memorandum of Association, and (3) adoption of new Articles of Association, all aligned with the Companies Act, 2013. Out of 1.05 crore total shares, around 99.77 lakh votes were polled (95.01% turnout), with promoters (holding ~95% stake) voting 100% in favour of all three resolutions. Among public non-institutional shareholders, turnout was very low at only about 0.31% of their holdings, with 92-94% of those voting in favour. Public institutions did not participate in voting.
The change in main objects is the most material item—it allows the company to expand or shift its business activities beyond its current crankshaft manufacturing scope, which could signal upcoming diversification. Updating the MoA and AoA is a routine governance step aligned with the Companies Act, 2013. With promoters controlling ~95% of shares, shareholder outcomes are largely driven by promoter intent, so the near-unanimous results were expected.
