The NCLT New Delhi has approved the merger of Delhivery's two wholly-owned subsidiaries — Spoton Logistics Private Limited and Spoton Supply Chain Solutions Private Limited — into Delhivery Limited, with the order dated March 20, 2026. The Appointed Date for the merger has been set as April 1, 2025 (revised from the originally proposed April 1, 2024). Since both transferor companies are fully owned by Delhivery, no new shares will be issued and no consideration is payable to shareholders; the existing investments will simply be cancelled. The transferor companies will stand dissolved without going through winding up, once the certified order is filed with the Registrar of Companies. The merger is aimed at simplifying Delhivery's group structure, cutting compliance costs, and improving operational efficiency.
