Desco Infratech Ltd has acquired 2,00,000 equity shares (75%) in Shri Green Agro Energies Private Limited (SGAEPL) by subscribing to its Rights Issue at face value (Rs. 10 per share), for a total consideration of Rs. 20 lakh. SGAEPL has consequently become a 75% subsidiary of Desco, with the existing promoters retaining the remaining 25%. SGAEPL is a private company incorporated in 2022 in the agro-energy sector, focused on Compressed Biogas (CBG) project development, and has reported NIL turnover for the last three financial years. The deal is a cash transaction, not a related party deal, required no regulatory approvals, and does not fall under any scheme of arrangement. Desco is funding this through banking channels and sees it as a strategic move to expand into the renewable energy and green fuel space.
For shareholders, this marks Desco's entry into the renewable energy/CBG sector as a strategic pivot beyond its core infrastructure business.
