Dhampure Specialty Sugars held an Extra-Ordinary General Meeting on 18 March 2026 where shareholders approved a special resolution to issue convertible warrants to the promoter and promoter group on a preferential basis. Out of 87,31,200 total outstanding shares, only 1,76,844 shares (about 2.03%) were polled. Promoters holding 52,62,508 shares did not cast any votes, while public non-institutions voted overwhelmingly in favour (99.96% in favour, 70 votes against). The scrutinizer Uma Verma confirmed the resolution was passed with the requisite majority. All procedural compliances under SEBI LODR and Companies Act 2013 were followed.
This preferential allotment of convertible warrants to promoters will dilute the public shareholders' stake once converted. The very low voting turnout (just 2%) means the approval came mainly from a small slice of the public float, though no public votes were cast against. Existing non-promoter investors should track the warrant conversion price and timing as it will directly affect their shareholding percentage.
