Digjam Limited's Board, at its August 14, 2025 meeting, approved the re-appointment of three Independent Directors — Ms. Sudha Bhushan, Mr. Duraiswamy Gunaseela Rajan, and Mr. Panchapakesan Swaminathan — along with Whole-Time Director Mr. Hardik Bharat Patel, each for 5-year terms subject to shareholder approval. The Board also appointed M/s. Viral Sanghavi & Associates as the new Secretarial Auditor for 5 years (FY 2025-26 to FY 2029-30). The unaudited Q1 FY26 results show revenue from operations of Rs. 195.28 lakhs (down from Rs. 618.41 lakhs a year ago) and a small net profit of Rs. 96.05 lakhs, helped by Rs. 161.82 lakhs profit from discontinued operations. The auditor flagged a going concern uncertainty as current liabilities exceed current assets by Rs. 544.57 lakhs and the Jamnagar manufacturing facility remains shut since March 31, 2025. A previously approved demerger scheme with Reid & Taylor International Private Limited (appointed date July 1, 2025) is still pending approvals.
