Digjam Limited's board, which met on June 29, 2025, approved three key items. First, Mr. Parashiva Murthy B S resigned as a Director for personal reasons, effective the same day. Second, Dr. Ruchit Bharat Patel (DIN: 00603359) was appointed as an Additional Non-Executive, Non-Independent Director. Third, and most importantly, the board approved a Scheme of Arrangement to demerge the textile business of Reid & Taylor International Private Limited (RTIL) into Digjam, with an appointed date of July 1, 2025. The demerged textile business had a turnover of INR 48,881.12 lakhs in FY25, which is about 26.86 times Digjam's own turnover, making this a transformational deal for the company. As consideration, Digjam will issue 7,13,01,854 new equity shares to RTIL shareholders at an exchange ratio of 46,481 Digjam shares for every 100 RTIL shares, with no cash involved.
This is a major restructuring event that will significantly expand Digjam's scale and operations in the textile sector. Share dilution is meaningful — total shares will rise from 2 crore to around 9.13 crore (a 4.5x increase), though promoter shareholding stays nearly flat at about 75%, suggesting the deal is largely within the promoter group (Finquest Group). Stock may react sharply; investors should watch for NCLT and SEBI approvals before the scheme becomes effective.
