Bharat Electronics Limited (BEL) has received notices from both NSE and BSE imposing a fine of Rs. 10,07,720 each (including GST) for the quarter ended 31 March 2025. The penalty is for non-compliance with SEBI (LODR) Regulations 17(1), 17(2), 19(1)/19(2), 20(2)/(2A) and 21(2) due to insufficient number of Independent Directors on its Board. BEL clarified that as a Government Company under the Ministry of Defence, the appointment of Directors is decided by the Government of India and is beyond the company's control. The company has requested GoI to nominate the required Independent Directors and will seek waiver of the fines from the stock exchanges.
The financial impact is minimal — BEL states no material impact is expected even if the waiver is not granted, given the small fine size relative to the company.
